Scholar
My academic work focuses on company law and corporate governance, which are the main subjects of my research, as well as my activities as a lecturer and as an expert. Moreover, I conduct research and publish on constitutional law, social security law (pension scheme), legal education, and different branches of business and economic law. As a researcher, I make use of comparative law and economic analysis of law.

Since 2015, I am an Editorial Board member of European Company Law published by Kluwer Law International. The bimonthly law journal is dedicated to European company law, both as EU law and comparative law.
Czasopismo Kwartalne Całego Prawa Handlowego, Upadłościowego oraz Rynku Kapitałowego (C.H. Beck)
I was the initiator and Editor-in-Chief of Law Quarterly for the entire Commercial, Insolvency and Capital Market Law (HUK Law Quarterly) published by C.H. Beck between 2007 and 2010 (ISSN: 1898-4126). The HUK Law Quarterly was inspired by traditional German Archivzeitschrift type of journals from the one side, and by interdisciplinary American periodicals, mostly Law and Economics type ones, from the other side. The HUK Law Quarterly was innovative in many ways, had leading European experts on its Editorial Board, each issue opened with a bilingual (PL/EN) editorial (some international members of the Editorial Board wrote their editorials), and it was probably the first Polish law journal to use the JEL classification system. Additionally, HUK Law Quarterly allowed for publishing extensive interdisciplinary legal studies. Some of the papers published in the HUK Law Quarterly remain up to day the primary reference works in their fields.

Organisations and research networks
Allerhand Institute
I am the initiator, founder, and President of the Allerhand Institute established in 2010 (preparatory works started in 2008) under the full name: Allerhand Institute of Advanced Law Studies. This is an independent non-university research unit within the meaning of Article 9(2)(f)of the Act dated April 30, 2010 on the Rules of Research Financing,as well as a state accredited public benefit organization within the meaning of the Act dated April 24, 2003 on Public Benefit and Volunteer Work. The Institute conducts international and interdisciplinary research and organizes scientific dialog in various areas of law, in particular insolvency and restructuring law, company law, corporate governance, capital and financial market law, intellectual property law, social security law, constitutional law, human rights, civil procedure and alternative disputes resolution methods (ADR), energy law, sports law, tax law, public procurement and state aid law, space law, legal professions, and legal education. I manage the affairs of the Allerhand Institute: I am responsible for setting strategic goals of the Institute and its scientific policy including: conducting research, conference and seminar projects, in particular within the Company Law and Capital Market Section, which is also chaired by me. I am also involved in the “Allerhand Advocacy — law in the public interest”-project (more in the Pro bono Lawyer section)
Center for European Company Law (CECL)
Since 2014, I am a member of the Advisory Board of the Center for European Company Law established in Leiden, the Netherlands. CECL carries out publishing, conference, educational, and research activities. As an international academic networking venture, it gathers partner institutions: Universities in Leiden, Utrecht, Maastricht, Uppsala, Rome (LUISS), and Allerhand Institute.
Centrum C-Law.org
I am the initiator and managing director of Centrum C-Law.org (full name: European Center for Comparative Commercial and Company Law) etablished in 2004 — an academic network gathering lawyers specialized in company and commercial law, mostly from Central and Eastern European countries. Centrum C-Law.org was founded in connection with the enlargement of the European Union to the east.

I am associate – as an international collaborator – with the Centre for Small and Medium-Sized Enterprises na uniwersytecie w Aarhus (Head of the Center: Professor Mette Neville). The Center conducts research on the optimal development conditions for small and medium enterprises.

I am a member of an international academic network under the leadership of the University of Oslo (network leader: Beate Sjåfjell). Informal Company Law Expert Group (ICLEG)
Since May 2014, I have been a member of the Informal Company Law Expert Group (ICLEG). Since May 2014, I have been a member of the Informal Company Law Expert Group (ICLEG). ICLEG is a European Commission advisory body appointed by the Commission for a three-year term. Among 14 members of the group: Germany, Great Britain, and Netherlands each have two representatives, and Austria, Denmark, France, Spain, Ireland, Lithuania, Poland and Italy each have one (Full list accessible here).
ICLEG advises the European Commission in company law matters and works on new legislative initiatives on this field, in particular regarding groups of companies, digitalization in company law, cross-border mobility of companies (intra EU mergers , divisions, and reincorporations), and transparency.

Expert Group working on the draft proposal for a SUP Directive
In 2013, I worked on a draft proposal for a new Directive on European single-person company — Societas Unius Personae (SUP). My involvement was as a member of an ad hoc expert group made up of the former Reflection Group, with Professor Peter Hommelhoff and me as new members. The works resulted in the first draft of the SUP Directive and a company’s articles draft model (template). Both documents were submitted to the European Commission on July 22, 2013.

Legal Scholar Network with ECGI
In 2006 and 2007, I was a member of the Legal Scholar Network — an expert group affiliated with the European Corporate Governance Institute (ECGI), appointed ad hoc to work on a study Proportionality between capital and control in listed companies commissioned by the European Commission and implemented by a consortium consisting of ECGI, ISS and Shearman&Sterling.

Expert Group 10+
In 2007, I was the head of the appointed ad hoc Expert Group 10+ gathering company law experts from then new EU member states, mostly from Central and Eastern Europe. The aim of the group was to participate in consultations of legal acts regarding European company law prepared by the European Commission.

MEMBERSHIP IN THE ADVISORY COUNCIL OF A RESEARCH PROJECT: CROSS-BORDER CORPORATE MOBILITY IN THE EU (MAASTRICHT UNIVERSITY)
In May 2017 I was appointed to sit in the Advisory Council of an international research project entitled Cross-border Corporate Mobility in the EU.
Project’s goal is to gather empirical data on and monitor cross-border seat transfers, cross-border mergers, cross-border divisions of and between EU company law forms within all EU Member States between 2017 and 2020. The project is financed by the European Trade Union Institute. The project is managed and executed from Maastricht (University of Maastricht).
PARTICIPATION IN THE PROJECT: STUDY ON MINORITY SHAREHOLDERS PROTECTION
I served as a national legal expert for a 2016-2017 Study on minority shareholders protection – a project executed for the European Commission under the Service Contract No JUST/2016/MARK/PR/CIVI/0036. The purpose of the project was to carry out a thorough analysis and assessment of the Member States’ frameworks related to minority shareholder protection and to report on the findings in the form of a study to the Commission. The study provides input into the Commission’s ongoing work on monitoring corporate governance developments in the EU. The leader of the project was TGS Baltic.
Leadership of the project Ustawa 2.0 — Założenia reformy systemu szkolnictwa wyższego (Act 2.0 — Higher Education Reform)
I am a leader of an interdisciplinary team working on a research project entitled Ustawa 2.0 – Założenia systemu szkolnictwa wyższego (Act 2.0 — Higher Education Reform). The project is financed with a grant awarded by the Ministry of Science and Higher Educationo for the period between June 2016 and January 2017. The project includes conducting scientific research and elaborating the assumptions of the new legal framework in the field of higher education in order to make Polish science more competitive globally. The project is based on the reform concept presented during the competition gala in the Ministry of Science and Higher Education. More information on the project can be found on the website.

Participation in an international research team executing the Sustainable Market Actors for Responsible Trade (SMART) project
Since 2015, I have been a member of an international research team managed by Professor Beate Sjåfjell (University of Oslo), executing the Sustainable Market Actors for Responsible Trade (SMART) project. The project is finance by a European Commission grant awarded within the Horizon 2020 project.
Management of an international project dedicated to the Europeanization of Ukrainian company law: Assessment of the Approximation Level of Present Company, Corporate Governance, Accounting and Auditing Legislation and Existing Practices in Ukraine to EU Standards and Practices
In 2014, I was the head of the team that was asked by the Delegation of the European Union to Ukraine to prepare a study embracing evaluation and reform proposals to further harmonize Ukrainian company, corporate governance, accounting and auditing legislation with the European standards – this following from the conclusion of the EU-Ukraine association agreement. The study was prepared based on contract No. 2013/328606/2 (within EuropeAid/129783/C/SER/Multi budget line).

Co-management of a Polish-German research project: Opracowanie polskiej i niemieckiej koncepcji partycypacji pracowniczej w MSP w oparciu o model ESOP (Elaboration of the Polish and German Concept of Employee Participation in SMEs Based on the ESOP Model)
From 2011 to 2013, I was a co-manager of an international research project regarding employee participation, financed by the Polish-German Science Foundation (DPWS/PNFN). Membership in an international research team executing the Sustainable Companies project
From 2010 to 2014, I was a member of an international research team carrying out the Sustainable Companies project. The Private Law Department of the University of Oslo led the team (project manager: Professor Beate Sjåfjell). The project was situated at the junction of company law and corporate social responsibility (CSR), in particular environmental law.

ALLERHAND ADVOCACY – PUBLIC INTEREST LAW
ALLERHAND ADVOCACY – PUBLIC INTEREST LAW is a program that I initiated within the Allerhand Institute to work on issues that are significant for the rule of law, transparency of public affairs and efficiency of the legal system. The participants of the program undertake various activities, such as research, public education, and activism through interventions. The program goals are attained through requests and reports addressed to public authorities, through strategic litigations and through cooperation with the media, most importantly – with the press. The program is also designed as an educational venture – program participants are recruited from among university students, predominantly law students. Student participants undergo clinical training as they work under the direct supervision of tutors (mostly attorneys). The most engaged students receive scholarships awarded annually.
